Adhoc Services Terms

These Adhoc Services Terms are governed by and incorporated into the CoCountant Subscription Agreement. In the event of any conflict, the Subscription Agreement shall prevail.

1. Overview

CoCountant’s Adhoc Services offer flexible, task-specific support for clients requiring one-time or short-term assistance outside of ongoing subscriptions. These services are ideal for focused tasks such as books cleanup, account reconciliations, tailored financial reports, payroll setup, audit preparation, and other discrete deliverables. Each project is scoped individually and scheduled based on resource availability and task complexity.

2. Engagement Process

Prior to commencement, CoCountant and the client will define the task’s scope, deliverables, and timeline in writing. Upon mutual agreement, the task will be scheduled and an estimated turnaround time provided. Most requests are acknowledged within one business day.

3. Client Cooperation

Client obligations related to providing timely, complete, and accurate information—as well as system access and approvals—are governed by Section 1.7 of the Subscription Agreement and apply equally to Adhoc engagements. Any delay in client inputs may affect delivery timelines and outcomes.

4. Fees & Payment Terms

  • All Adhoc engagements require 100% advance payment prior to scheduling.
  • Pricing may be based on either a fixed project fee or hourly rates, depending on scope.
  • Any work outside the agreed scope will be quoted and invoiced separately before proceeding.

5. Communication

Primary communication will occur via email. Where needed, video calls and shared documentation may be used to clarify deliverables, timelines, or data requirements. All critical access and coordination details will be confirmed at project kickoff.

6. Revisions & Follow-up

A single round of minor revisions or clarifications is included, if requested within five (5) business days of delivery. Substantial changes or new requirements will be treated as a new engagement.

7. Cancellation

  • A project may be canceled at no charge before work begins.
  • If canceled after work starts, fees will apply based on time and effort expended to date.
  • CoCountant reserves the right to decline or reschedule Adhoc requests based on team capacity or scope alignment.

8. Confidentiality

All Adhoc engagements are covered under the confidentiality provisions of Section 3 of the CoCountant Subscription Agreement. No separate confidentiality clause is required unless agreed in writing.

9. Service Scope Clarification

Adhoc Services are intended for one-time or short-term needs and do not include ongoing support or operational continuity. For recurring bookkeeping, accounting, or finance leadership needs, clients are encouraged to explore CoCountant’s Full Service plans or the Finance Team Extension, which offer dedicated resources, embedded team support, and strategic financial oversight. Additional services, including tax support and CFO advisory, are also available and can be tailored based on business requirements.
